ADVENTYX: END USER LICENSE AGREEMENT

1. ACCEPTANCE OF TERMS

This End User License Agreement ("EULA") is a binding agreement between you (either an individual or entity) ("Customer," "User," or "you") and Adventyx, Inc., a Delaware corporation ("Company," "Adventyx," "we," or "us"). By accessing, installing, downloading, or using Adventyx's software platform, website, mobile applications, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by all terms

2. LICENSE GRANT

2.1 Limited License: Subject to your full compliance with this EULA and payment of applicable fees, Adventyx grants you a non-exclusive, non-transferable, limited license to use the Service solely for your internal business purposes to optimize your website and content for Large Language Model (LLM) search visibility.

2.2 Restrictions: You may not reproduce, distribute, modify, reverse-engineer, or attempt to derive the source code of the Service. You may not use the Service for competing purposes or to develop a competing service.

3. USER CONTENT AND INTELLECTUAL PROPERTY

3.1 Your Content: You retain all ownership rights to content, websites, and data you provide to the Service ("User Content"). You grant Adventyx a non-exclusive, worldwide, royalty-free license to use and analyze your User Content solely for providing and improving the Service.

3.2 Generated Assets: Adventyx's AI agent will generate optimized content ("Generated Assets"). You shall own the Generated Assets created for your account, provided that Adventyx retains the right to use anonymized, aggregated data derived from them to improve our Service and train our models.

4. ACCEPTABLE USE POLICY

You shall not use the Service to distribute spam, malware, or harmful content. You are solely responsible for ensuring that all User Content and Generated Assets comply with applicable laws and do not infringe on third-party intellectual property rights.

5. DATA AND PRIVACY

You acknowledge that Adventyx will process and store your data in accordance with our Privacy Policy. We maintain reasonable security measures to protect your data, though you acknowledge the inherent risks of data transmission over the internet.

6. SUBSCRIPTION AND PAYMENT

Pricing is stated in U.S. dollars and billed monthly or annually based on your plan. Adventyx reserves the right to change pricing with 30 days' notice. Refunds are not provided for partial months or unused portions of your subscription.

7. LIMITATION OF LIABILITY

7.1 Disclaimer: THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE". ADVENTYX DISCLAIMS ALL WARRANTIES, INCLUDING ACCURACY OF SEARCH RANKINGS OR SPECIFIC REVENUE OUTCOMES.

7.2 Cap on Liability: Adventyx's total cumulative liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

8. INDEMNIFICATION

You shall indemnify, defend, and hold harmless Adventyx from any claims, damages, or expenses arising from your use of the Service, your User Content, or your violation of this EULA.

9. TERMINATION

You may cancel your subscription at any time with 30 days' written notice. Adventyx may terminate or suspend your access immediately if you violate this EULA, or for non-payment after 15 days' notice.

10. CONFIDENTIALITY AND PUBLICITY

Each party agrees to maintain the confidentiality of non-public information received from the other. Adventyx may identify you as a customer in marketing materials unless you opt out in writing.

11. DISPUTE RESOLUTION

This EULA shall be governed by the laws of the State of Delaware. Any legal action arising from this EULA shall be brought exclusively in the state or federal courts located in Delaware. You agree that any legal proceeding shall be conducted on an individual basis and not as a class action.

Any notices or legal documents required under this EULA should be sent as follows:

Electronic notice shall be deemed sufficient provided that the sender does not receive an automated notification of delivery failure.
